These Terms of Service (“Terms”) are an agreement between Truly LLC, a Michigan limited liability company (“Truly,” “we,” “us”), and the law firm or other organization that signs up for Truly (“Customer,” “you”). By creating an account, starting a trial, paying for or using the Service, you accept these Terms. The person who accepts these Terms confirms they have authority to bind the Customer. If you do not agree, do not use the Service.
If you are a law firm’s client taking an interview, your relationship is with your law firm. Only the sections titled “Not legal advice,” “Acceptable use,” “Disclaimers” and “Text messages” apply to you.
1. The service
Truly is software that helps law firms gather information from their clients. Truly lets Customers build AI interview templates, invite clients to interviews by email, text message or WhatsApp, and conduct interviews by voice or chat. Clients can upload documents and review their answers in a branded client portal. Customers can review transcripts and documents, set up automations, and send case information to tools they connect (together, the “Service”).
We may improve, change, limit or discontinue any part of the Service at any time. If we remove a feature that is material to your use of the Service, we will tell you in advance.
Beta features. Features marked beta, preview or early access are provided as is, may change or end at any time, and are excluded from any commitments in these Terms.
2. Not legal advice
Truly is not a law firm. Truly does not give legal advice, and using Truly does not create an attorney-client relationship between Truly and anyone. Truly is not a lawyer referral service. Truly gathers and organizes information. The Customer’s attorneys are solely responsible for reviewing it, for any legal advice, and for their professional obligations, including supervising nonlawyer assistance, protecting client confidences and meeting rules of professional conduct.
AI output. Interviews are conducted by artificial intelligence. AI output, including transcripts, translations, follow-up questions and generated interview questions, can be incomplete, inaccurate or inappropriate. You are solely responsible for reviewing AI output before relying on it, and for any decision made using it.
Not for emergencies. The Service is not monitored in real time and must not be used for emergencies or time-critical situations. Anyone in danger should call 911.
3. Accounts and users
- You must give accurate, current information when you sign up and keep it up to date.
- Accounts are for law firms and other legal service organizations using the Service for their own business. Users must be at least 18.
- The Customer’s primary user controls billing. Admins can add staff and assign roles.
- Each user must have their own login. Truly uses passwordless sign-in. Users must keep control of the email account and phone number they use to sign in, and must not share sign-in codes or accounts.
- You are responsible for all activity under your account, for your users’ compliance with these Terms, and for removing access for people who leave your firm.
- Tell us promptly at info@truly.law if you suspect unauthorized access.
4. Your responsibilities
You are responsible for:
- Consent and notices. Obtaining every consent and giving every notice the law requires before you invite someone to an interview. This includes consent to be interviewed by AI, to be recorded, to have voice processed and transcribed, and to receive SMS, MMS and WhatsApp messages. Recording laws differ by state, and some require every party’s consent. Truly lets you set a disclaimer that is read at the start of each interview. You are responsible for its content.
- Messaging rules. For every SMS, MMS and WhatsApp message sent at your direction, you are the sender. You must:
- obtain each recipient’s prior express consent before they receive messages, including when they sign up for your services, and keep records of that consent for at least four years;
- comply with the Telephone Consumer Protection Act, state telemarketing and text-messaging laws, CTIA Messaging Principles and Best Practices, wireless carrier requirements, the Twilio Acceptable Use Policy and Messaging Policy, the WhatsApp Business Messaging Policy and our SMS Terms;
- give us accurate business information for carrier registration (for example A2P 10DLC brand and campaign registration), and keep it current;
- make sure messages identify your firm, are not marketing unless the recipient separately agreed to marketing, and are sent at appropriate times; and
- honor opt-outs. Truly processes STOP requests automatically, and you must not re-message anyone who has opted out unless they opt back in.
You must give us consent records within five business days if we, a carrier or Twilio ask for them. We may suspend messaging for your account if we believe it violates these rules or puts our messaging services at risk.
- Your content. Having all rights and permissions needed to upload your intake forms, documents and other materials, and to share client information with Truly.
- Regulated data. Truly is not a “business associate” under HIPAA unless we sign a business associate agreement with you. Do not use the Service to collect protected health information, payment card numbers, or other data that requires special contracts or certifications, unless we have agreed to it in writing.
- Your decisions. All legal judgments, and all decisions about what to ask, what to keep and how long to keep it.
- Your systems. The security of your devices, networks and connected tools, and keeping your own copies of records you are required to keep.
5. Acceptable use
You, your users and your clients must not use the Service to:
- break any law or regulation, infringe anyone’s rights, or harass, threaten, defraud, deceive or harm anyone;
- send spam, or messages to people who have not consented or who have opted out;
- impersonate any person or organization, or misrepresent who is sending a message;
- upload malware, or content that is unlawful, defamatory, obscene or that you have no right to share;
- probe, scan or test the vulnerability of the Service, or breach or get around its security, authentication, rate limits or usage metering;
- overload or disrupt the Service, including through load testing, denial-of-service activity or excessive automated requests;
- scrape, crawl or extract data or content from the Service by automated means, except through features we provide for that purpose;
- try to access another firm’s data or any account that is not yours;
- reverse engineer, decompile or disassemble the Service, or try to extract its source code, AI prompts or model instructions (including through prompt injection), except where the law allows it despite this restriction;
- copy, frame, modify, resell, rent, lease, sublicense or provide the Service to third parties, or use it as a service bureau;
- use the Service, or its output, to build or train a competing product or AI model;
- abuse free trials, promotions or credits, including by opening several accounts or using false information;
- remove or hide any proprietary notices, or the AI disclaimer read at the start of interviews; or
- help or allow anyone else to do any of these things.
Monitoring. We may monitor use of the Service for security, abuse prevention, billing and compliance with these Terms. We have no duty to review Customer Data.
Enforcement. We may investigate suspected violations, remove content, limit features, and suspend or terminate access that violates this section, that puts the Service, other customers or anyone else at risk, or that we are legally required to stop. Where practical, we will give notice first. We may cooperate with law enforcement and report suspected illegal activity.
6. Plans, fees and payment
Subscriptions. Plans are billed monthly or yearly in advance, at the prices shown when you subscribe. Subscriptions renew automatically for the same period until cancelled. You authorize these recurring charges.
Setup fee. A one-time setup fee applies to your first subscription. It is charged with your first payment or, if you start with a free trial, when the trial ends.
Free trials. Where offered, a free trial is available once per firm, to new customers only. If you cancel during a trial, the subscription ends immediately and you are not charged. We may change or end trial offers at any time.
Truly Tokens. Use of the Service is measured in Truly Tokens. Interview time, speech transcription, answer checking and template generation all use tokens. Each plan includes a token allowance for each billing period. Our usage records are final unless you dispute them in writing within 30 days.
- Unused plan tokens do not roll over. On a yearly plan, the allowance is granted for the year.
- Add-on tokens you buy expire at the end of the monthly window in which you bought them.
- Tokens have no cash value and can’t be transferred, refunded or exchanged.
- Your balance can go below zero when an interview in progress uses more than the remaining balance. Interviews can’t start while the balance is zero or below, and a negative balance is deducted from your next allowance or purchase.
Usage limits. We may set reasonable limits on interviews, storage, messages and API requests to protect the Service. If your use is unusually high or harms the Service, we may throttle it or ask you to move to a suitable plan.
Payment methods. We accept card, US bank account (ACH) and Link payments through Stripe. Bank payments can take several business days to clear, and some features may be unavailable until they do. You authorize us and Stripe to charge your saved payment method for all fees when due. Keep a valid payment method on file.
Changes to your plan.
- Upgrades take effect immediately and are prorated.
- Downgrades take effect at the end of the current billing period.
- You may pause or cancel from Settings → Billing. Cancellation takes effect at the end of the current billing period, and access continues until then.
Late or failed payment. If a payment fails or is late, we may suspend the Service until it is paid. Overdue amounts accrue interest at 1.5% per month or the highest rate the law allows, whichever is lower. You will pay our reasonable costs of collecting overdue amounts, including attorneys’ fees.
Chargebacks. Contact us before disputing a charge with your bank or card issuer. If you file a chargeback for a fee you owe, we may suspend your account until it is resolved. You will repay the disputed amount and any chargeback fees.
Price changes. We will give at least 30 days’ notice before a price change applies to your subscription. The new price applies from your next renewal.
Taxes. Fees do not include taxes. You are responsible for applicable taxes other than taxes on our income.
Refunds. All fees, including subscription fees, the setup fee and add-on tokens, are non-refundable, except where the law requires a refund. This includes partial billing periods, unused tokens and accounts suspended or terminated for breach of these Terms.
7. Your data
Ownership. You own the information you and your clients put into Truly, including interview answers, recordings, transcripts, documents and templates (“Customer Data”).
Our use. You give Truly a limited license to host, copy, process, transmit and display Customer Data only to provide, secure and support the Service, to prevent abuse and enforce these Terms, and as the law requires. We may use usage data and other data that does not identify you or any individual to operate, analyze and improve the Service. We do not use Customer Data to train AI models, and our AI provider, Google, does not either.
Privacy. Our Privacy Policy describes how we handle personal information. For information about your clients, we act on your behalf and under your instructions.
Service providers. We use service providers to run the Service, including Google Cloud, Stripe, SendGrid and Twilio. We are responsible for their performance of our obligations, but not for outages or failures of public networks, carriers or third-party platforms outside our reasonable control.
Connected tools. When you connect a third-party tool such as Prima.Law or a webhook, you direct us to send Customer Data to it. That tool’s own terms govern its handling of the data, and Truly is not responsible for it.
Security. We use reasonable administrative, technical and physical safeguards designed to protect Customer Data. If we learn of unauthorized access to Customer Data, we will notify you without undue delay. No system is perfectly secure.
Legal requests. We may disclose Customer Data if required by law, subpoena or court order. Where allowed, we will notify you first so you can seek a protective order.
Data processing terms. For personal information Truly processes on your behalf (“Customer Personal Data”), you are the controller (or “business”) and Truly is your processor (or “service provider”). Truly will:
- process Customer Personal Data only to provide the Service and on your documented instructions, which are these Terms and your use of the Service’s settings, and tell you if we believe an instruction breaks the law;
- not sell or share Customer Personal Data, not use it for our own purposes outside the business relationship, and not combine it with other data except as allowed by law;
- make sure everyone who handles it is bound by confidentiality;
- maintain the safeguards described in “Security”;
- use only subprocessors bound by data protection terms at least as protective as these. The current list is in our Privacy Policy. We will give 30 days’ notice of new subprocessors, and you may object on reasonable data protection grounds;
- help you respond to requests from individuals exercising their privacy rights, and with data protection assessments, taking into account the nature of the processing;
- notify you without undue delay, and no later than 72 hours after confirming it, of a breach of security affecting Customer Personal Data, with the information you reasonably need to meet your own obligations;
- delete Customer Personal Data at the end of the Service, as described under “After termination”; and
- once a year, on written request, give you information reasonably needed to show compliance with these terms, such as a security questionnaire response.
Where European, UK or Swiss data protection law applies to a transfer of Customer Personal Data to the United States, the Standard Contractual Clauses (Module Two, controller to processor), with the UK and Swiss addenda where relevant, are incorporated by reference. You are responsible for having a lawful basis and giving required notices for the personal data you collect through the Service. A separate signed data processing agreement is available on request.
Google user data. Truly’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
Certifications. Truly does not claim any security or compliance certification or audit report (such as SOC 2, ISO 27001, HIPAA or Google CASA) unless we provide it to you in writing. Your compliance obligations, including under HIPAA, GDPR, state privacy laws and rules of professional conduct, remain yours.
After termination. For 30 days after your account ends, you may ask us for a copy of your Customer Data. After that period we delete all Customer Data, including users, cases, interview recordings, transcripts and documents, except for copies we must keep by law or that sit in routine backups until they expire.
8. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care, and will use it only for this agreement. This does not apply to information that is public, already known, independently developed or rightfully received from someone else. Either party may disclose information when legally required, after giving notice where allowed.
9. Our intellectual property
Truly and its licensors own the Service and all rights in it, including the software, AI prompts and model instructions, public interview templates, designs, trademarks and documentation, and all improvements to them. Subject to these Terms and payment of fees, we give you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service for your firm’s internal business during your subscription. We reserve all rights not expressly granted. If you send us feedback or suggestions, we may use them freely without any obligation to you.
Publicity. We may name you as a customer and show your logo on our website and in sales materials. You can opt out at any time by emailing info@truly.law.
10. Suspension and termination
By you. You may cancel at any time, effective at the end of the current billing period.
By us. We may suspend or terminate your access immediately, with or without notice, if: you fail to pay; you violate Section 5; your use creates a security, legal or reputational risk to Truly, the Service or others; we are required to by law or a service provider; or you provided false information. We may also terminate these Terms if you materially breach them and don’t cure the breach within 30 days after notice.
Effect. When your access ends, your right to use the Service stops, all amounts owed become due immediately, and Section 7 (“After termination”) applies. Sections 2, 4, 5, 6 (amounts owed), 7, 8, 9 and 11–15 survive termination.
11. Disclaimers
THE SERVICE, ALL AI OUTPUT AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TRULY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT. TRULY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT MESSAGES WILL BE DELIVERED, THAT DATA WILL NOT BE LOST, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE OR SUITABLE FOR ANY LEGAL PURPOSE. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
(A) TRULY, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, CLIENTS, DATA OR GOODWILL, OR FOR MALPRACTICE CLAIMS OR CLAIMS BY YOUR CLIENTS, EVEN IF ADVISED OF THEIR POSSIBILITY.
(B) TRULY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TRULY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100).
(C) THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND STATUTE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT YOUR PAYMENT OBLIGATIONS, YOUR INDEMNITY OBLIGATIONS, YOUR LIABILITY FOR BREACH OF SECTION 5, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
The fees reflect these allocations of risk, which are an essential part of the agreement.
13. Indemnity
By you. You will defend, indemnify and hold harmless Truly and its members, managers, employees, contractors and suppliers from all third-party claims, and related losses, damages, fines, penalties, costs and attorneys’ fees, arising from: Customer Data; messages sent at your direction; your failure to obtain required consents or give required notices; your violation of these Terms or of any law, including the TCPA, privacy and recording laws, and rules of professional conduct; your legal advice and professional services; your connected tools; and any claim by your clients or users.
By us. Truly will defend you against third-party claims that the Service, as provided by Truly, infringes a U.S. patent, copyright or trademark, and pay the damages finally awarded. This does not apply to claims arising from Customer Data, your modifications, combinations with things we didn’t provide, or use in breach of these Terms. If the Service is claimed to infringe, we may modify it, get you the right to keep using it, or end your subscription and refund prepaid fees for the unused period. This paragraph is your only remedy for infringement claims.
Process. The party seeking indemnity must give prompt written notice, give reasonable cooperation, and let the indemnifying party control the defense and settlement. No settlement that admits fault for, or imposes obligations on, the indemnified party may be made without its consent.
14. Disputes
Informal resolution first. Before filing any claim, the party raising the dispute must email the other a written description of it. The parties will try in good faith to resolve it for 30 days.
Governing law and venue. Michigan law governs these Terms, without regard to conflict-of-laws rules. The state courts in Ottawa County, Michigan and the federal courts for the Western District of Michigan have exclusive jurisdiction, and each party consents to them. Truly may seek an injunction in any court to protect its intellectual property or stop a breach of Section 5.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, consolidated or representative proceeding.
Jury trial waiver. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Time limit. Any claim against Truly must be filed within one year after it arises, or it is permanently barred.
Attorneys’ fees. In any action to enforce these Terms, the prevailing party may recover its reasonable attorneys’ fees and costs.
15. General
- Changes to these Terms. We may update these Terms. We will give at least 30 days’ notice of material changes by email or in the app. Continued use after the effective date means you accept the change.
- Electronic communications. You agree to receive notices, agreements and disclosures electronically, and that they satisfy any requirement to be in writing.
- Notices. We send notices to the primary user’s email. Send notices to us at info@truly.law, with a copy to Truly LLC, 603 E 16th St, Ste 110, Holland, MI 49423.
- Export and sanctions. You will not use or allow access to the Service in violation of U.S. export controls or sanctions, or from a sanctioned country or by a sanctioned person.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of cloud, carrier or AI providers. This does not excuse payment.
- Relationship. The parties are independent contractors. There are no third-party beneficiaries of these Terms, including your clients.
- Entire agreement. These Terms, any order form and the documents linked here are the entire agreement and replace any prior agreements on the subject. If a signed agreement conflicts with these Terms, the signed agreement controls. Any terms in your purchase orders or other documents do not apply. If any provision is unenforceable, it will be enforced to the maximum extent allowed and the rest remains in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only.
16. Text messages
Truly sends text (SMS and MMS) messages and WhatsApp messages on behalf of law firms that use Truly, and on its own behalf. This section also appears in our SMS Terms.
- What we send. One-time sign-in codes; interview invitations with a secure link; and interview reminders and follow-ups that a law firm sets up. Truly does not send marketing messages by text.
- Consent. Law firm clients agree to receive SMS and MMS messages from their law firm, sent through Truly, when they sign up for the firm’s services, and each law firm using Truly is required to collect this consent from its clients. Law firm staff agree to receive SMS and MMS messages from Truly when their firm signs up for Truly’s service. Anyone who asks for a sign-in code by text has requested that message. Consent to receive messages is not a condition of buying any goods or services.
- Frequency. Message frequency varies with your interviews and your law firm’s reminders.
- Costs. Message and data rates may apply. Ask your wireless provider about your plan.
- Opting out. Text STOP to the number that messaged you. We will send one message confirming that you’ve been unsubscribed, and you won’t receive further messages from that number. To sign up again, text START. If you opt out, you can still sign in to the client portal with an email code.
- Help. Text HELP for help, or email info@truly.law.
- Carriers. Carriers are not liable for delayed or undelivered messages.
- Privacy. Mobile information is not shared with third parties or affiliates for marketing or promotional purposes. Text message opt-in data and consent are not shared with any third party. See our Privacy Policy.
17. Security information
Our Security page describes how we protect the Service and Customer Data. It is provided for information, may be updated as our practices change, and does not add to or change our obligations under Section 7 (“Security”).
